Terms & conditions

The service

3eacon Logistics, a trading name of BERPAR LTD, a company registered in England and Wales ("3eacon", "we"), provides third-party fulfillment services from our facility in Romford, Essex — storage, inbound receiving, pick & pack, dispatch, returns processing and labelling — as described on our Services & Pricing page. By sending stock to us or using the client portal, you agree to these terms. These terms apply between us and our clients (businesses); they are not a consumer contract.

Account terms

  • Billing is month-to-month — no long-term contract or lock-in, no setup fees.
  • Either party may terminate the arrangement with 30 days' written notice.
  • Current rates are those published on our Services & Pricing page, or as separately agreed in writing.

Billing & invoicing

We invoice monthly based on your actual activity that period — storage, inbound receiving, and pick & pack. Every invoice is reviewed by a member of our team before it's sent, and is payable within 14 days of the invoice date unless otherwise agreed. Invoices are available in your client portal. Late payment may incur statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.

Your responsibilities

  • Provide accurate product and shipment information, including expected quantities.
  • Only send lawful, correctly-declared goods — no prohibited, hazardous, or dangerous items (including anything restricted under postal or carrier rules) unless agreed with us in writing in advance. We reserve the right to refuse or return stock that isn't.
  • Keep your Shopify connection and portal account details accurate and secure.
  • Ensure you have the necessary rights and, where you process your own customers' personal data, a lawful basis to share their order and delivery details with us for fulfilment.

Data protection

Our Privacy Policy explains how we handle personal data generally. Where we process your customers' personal data (for example, name and delivery address) solely to pick, pack and dispatch your orders, we do so only on your instructions and as part of providing the service to you — you remain the controller of that data, and we act as your processor for it. We apply appropriate technical and organisational security measures (including encrypted connections, multi-factor authentication for staff, and access logging) and will assist you in meeting your own UK GDPR obligations on reasonable request.

Liability

We take reasonable care in handling, storing and dispatching your stock, and will flag and resolve discrepancies as soon as they're identified at receiving. To the extent permitted by law, our liability for loss or damage to stored goods, and for any indirect or consequential loss, is limited to the fees paid for the service in the three months preceding the claim. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Events outside our control

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control (for example, carrier network failures, extreme weather, or national infrastructure outages), provided the affected party notifies the other as soon as reasonably possible and takes reasonable steps to limit the impact.

Changes to these terms

We may update these terms from time to time, for example to reflect changes to the service or the law. We'll update the date below and, for material changes, give you at least 30 days' notice by email before they take effect. Continuing to use the service after that point means you accept the updated terms.

General

  • These terms, together with our Services & Pricing page and anything agreed with you in writing, form the entire agreement between us for the service.
  • If any part of these terms is found unenforceable, the rest continues to apply.
  • A delay in enforcing any part of these terms is not a waiver of it.
  • We won't transfer our obligations to a third party in a way that reduces the service you receive without telling you first.

Governing law

These terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
